Confidentiality Statement

We respect information provided by project sponsors, shareholders, advisers and authorized introducers, and apply safeguards appropriate to each stage of an investment evaluation.

1. Initial Submission

A project sponsor may begin with the non-sensitive information needed to determine strategic fit: country, project type, current stage, existing resources, capital requirement and contact details. A complete data room is not expected at first contact.

2. Identity and Authority Checks

Before sensitive materials are disclosed, both sides should reasonably verify the project entity, the identity of the contact, the ownership or control of the opportunity, and the contact's authority to share information. We may decline information that cannot be verified, appears unauthorized or would involve an improper disclosure.

3. Staged Disclosure of Sensitive Materials

Detailed shareholder, financial, customer, contract, asset, counterparty, valuation and regulatory information is normally disclosed in stages after the opportunity passes an initial review and appropriate safeguards are in place. Disclosure should remain necessary, proportionate and controlled.

4. Confidentiality Agreements

For an opportunity that fits our investment focus and requires further analysis, the parties may enter into a confidentiality agreement. The scope of protected information, permitted use, authorized recipients, exceptions, return or destruction requirements and duration will be governed by the signed agreement.

5. Professional Advisers and Partners

Where necessary for an evaluation and permitted by the applicable confidentiality arrangements, information may be shared with legal, financial or technical advisers, potential co-investors and industry partners. Access should be limited to people with a legitimate need to know.

6. Information Security

Both sides should use reasonably secure methods to transmit and store sensitive materials and restrict access by unrelated parties. Data-room credentials, customer lists, banking information and other highly sensitive records should not be sent through public groups, unverified personal accounts or unsecured links.

7. Advisers and Project Introducers

An introducer should confirm that they are authorized to present the opportunity and share the information provided, while respecting the confidentiality obligations of the project sponsor and other parties. FiberXOS values professional partners who bring verified opportunities and help projects progress, but an introduction alone does not mean that investment approval has been granted.

8. No Investment Commitment

Receiving, verifying, discussing or reviewing information does not constitute an investment commitment. Any investment decision remains subject to due diligence, commercial and technical assessment, negotiation of the transaction structure, definitive agreements and internal approval.
